This Sponsorship Agreement (the "Agreement") is made and entered into as of [Date] by and between GreenTech Summit ("Organizer") and EcoSolutions Inc. ("Sponsor"), each a "Party" and collectively, the "Parties."
1.1. Description
The "GreenTech Summit" is a one-day conference focusing on sustainable technology and innovation, bringing together experts, businesses, and enthusiasts to explore eco-friendly solutions and products (the "Event"). The Event will be held on [Date] at [Venue].
2.1. Sponsorship Level
Sponsor hereby agrees to sponsor the Event at the [Sponsorship Level] level, as more particularly set forth in the attached Exhibit A ("Sponsorship Benefits"), which is incorporated herein by reference.
2.2. Sponsorship Benefits
Organizer shall provide Sponsor with the Sponsorship Benefits listed in Exhibit A in connection with the Event, subject to the terms and conditions of this Agreement.
2.3. Sponsorship Fee
In consideration for the Sponsorship Benefits, Sponsor agrees to pay Organizer a total sponsorship fee of $[Fee] (the "Sponsorship Fee"), payable according to the payment schedule set forth in Section 3.1 below.
3.1. Payment Schedule
Sponsor shall pay the Sponsorship Fee in accordance with the following schedule:
All payments shall be made in U.S. dollars and are non-refundable.
4.1. Sponsor's Marks
Sponsor grants Organizer a non-exclusive, non-transferable, royalty-free, revocable, limited license during the term of this Agreement to use Sponsor's trademarks, logos, and trade names (collectively, the "Sponsor's Marks") solely in connection with promoting, marketing, and executing the Event. Sponsor represents and warrants that Sponsor has the right and authority to grant the foregoing license.
4.2. Use of Sponsor's Marks
Organizer agrees to use Sponsor's Marks in accordance with any guidelines provided by Sponsor and not to take any action that would impair or dilute the value of Sponsor's Marks. Organizer shall provide Sponsor with samples of any materials containing Sponsor's Marks for Sponsor's prior approval. Upon the termination or expiration of this Agreement, Organizer shall immediately cease all use and distribution of materials bearing Sponsor's Marks.
5.1. Disclaimers
THE SPONSORSHIP BENEFITS AND THE EVENT ARE PROVIDED "AS-IS," AND ORGANIZER EXPRESSLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ORGANIZER DOES NOT WARRANT OR GUARANTEE ANY SPECIFIC RESULTS, LEVELS OF ATTENDANCE OR PARTICIPATION, OR SUCCESS OF THE EVENT.
5.2. Limitation of Liability
IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE EVENT. EACH PARTY'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE SPONSORSHIP FEE PAID BY SPONSOR TO ORGANIZER HEREUNDER.
This Agreement shall commence on the date first written above and continue until the completion of the Event, subject to earlier termination as provided herein.
6.2. Termination for Breach
Either Party may terminate this Agreement upon written notice if the other Party breaches any material term or condition of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice thereof.
7.1. Governing Law; Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of [State], without giving effect to any principles of conflicts of laws. The Parties hereby irrevocably consent to the exclusive jurisdiction of the state and federal courts located in [County], [State] for any disputes arising under or in connection with this Agreement.
7.2. Entire Agreement
This Agreement, together with Exhibit A, contains the entire understanding of the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether oral or written, between the Parties hereto with respect to such subject matter.
7.3. Amendments
This Agreement may be amended only by a written instrument signed by the Parties.
7.4. Counterparts
This Agreement may be executed in counterparts, each of which shall be regarded as an original and all of which taken together shall constitute one and the same instrument.
